Description
NHS Gloucestershire Integrated Care Board awarded a contract pursuant to NHS England's Health Systems Support Framework for the provision of shared care records to Orion Health Limited in March 2023 (the Contract). In accordance with Annex 4 of the Contract (the Implementation Plan), the system was due to go live in September 2023 and the Deliverables were required to be delivered by the Long Stop Date of 15 October 2023. The parties have agreed to extend the deadline of the Long Stop Date to 15 October 2024 and made additional amendments to the Contract as explained below.
Total Quantity or Scope
NHS Gloucestershire Integrated Care Board awarded a contract pursuant to NHS England's Health Systems Support Framework for the provision of shared care records to Orion Health Limited in March 2023 (the Contract). In accordance with Annex 4 of the Contract (the Implementation Plan), the system was due to go live in September 2023 and the Deliverables were required to be delivered by the Long Stop Date of 15 October 2023. The parties have now agreed to vary the contract in the following manner: • Extending the deadline of the Deliverables Commencement Date to 2 October 2024 • Extending the Long Stop Date to 15 October 2024 • Updating each of the Milestones dates • Supplier to provide a revised Implementation Plan • Introduction of a Minimum Viable Product (MVP) Go-Live date to enable phased delivery of the service • Introduction of payment terms relating to dates upon which invoices are due post MVP Go-Live and Go-Live • Supplier to reduce the fees from £3,737,500 to £2,880,500 over the full 5 + 2 year term. • Provision of contract management meetings to review progress towards Milestones The ICB considers that the extension of the Long Stop Date of the Contract is permitted without needing a new procurement in accordance with Regulation 72(1)(e) of the Public Contracts Regulations 2015 on the basis that the change does not render the contract materially different in character, the ICB does not consider that the modification would have changed the outcome of the procurement, there is no shift in economic balance in favour of the supplier, and the scope of the Contract has not changed.

Other Information
Whilst section V.2.1 of this notice refers to a contract award decision, the ICB is not in fact awarding a new contract, but is modifying an existing one. The original value of the contract (including all extensions) was £3,737,500. In light of the agreed changes, the contract value (including all extensions) has reduced to £2,880,500.
